GoodStanding Terms of Service

Last updated: October 20, 2026

These Terms of Service ("Terms") govern your use of the GoodStanding mobile app, the website at goodstanding.health, and the GoodStanding for Agencies dashboard at app.goodstanding.health (together, "GoodStanding" or the "Service"). The Service is operated by Apex Clinical Group LLC, a Texas limited liability company ("Apex," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an agency or other organization, you agree to these Terms on its behalf and confirm you have authority to do so.

1. Who the Service is for

You must be at least 18 years old to use the Service.

2. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Give us accurate information and keep it current. Tell us right away at info@apexclinicalgroup.com if you believe your account has been used without permission. Access to the agency dashboard is currently by approval; we may approve or decline any request.

3. Provider and agency connections

4. Your content

You keep ownership of everything you add to the Service, including credential records and documents, policies, protocols and other files ("Your Content"). You give us a limited license to host, store, process, display and transmit Your Content only as needed to operate the Service for you and for the people you choose to share it with. You confirm you have the right to upload Your Content, including any policies or protocol books you load for your staff.

5. Acceptable use

You agree not to:

6. Exclusion screening

The automatic OIG check compares connected staff names against the federal HHS-OIG List of Excluded Individuals/Entities (LEIE). A name match is not a confirmed exclusion, and "no match" is not a guarantee. The agency is responsible for verifying any match (for example by date of birth and NPI), for checking every other list it is required to check (such as SAM.gov and state Medicaid exclusion lists), and for its own hiring, retention and reporting decisions.

GoodStanding is a record-keeping tool. It is not a consumer reporting agency, and screening results are not consumer reports. Agencies are responsible for complying with any law that applies to how they use screening information about workers.

7. Credentials, policies and protocols are your responsibility

Credential details in GoodStanding are entered by providers or read from their documents by software and confirmed by them. Agencies are responsible for primary-source verification of licenses and certifications where required (for example with the state board of nursing). Policies and protocol books are supplied by agencies; protocol content, including any medication doses, is reference material only and does not replace clinical judgment, current orders, or medical direction. GoodStanding does not provide medical, legal or compliance advice.

8. Fees

The provider app is free. The agency dashboard is a paid subscription at the price shown when you sign up, unless we have agreed in writing to a free pilot or other terms. Paid subscriptions renew monthly until cancelled, and fees already paid are not refunded except where required by law. We will give at least 30 days' notice before changing the price of an active subscription.

9. Availability and changes

We work to keep the Service available and secure but do not guarantee it will be uninterrupted or error-free. We may change, add or remove features. We may update these Terms; if a change is material we will notify you in the Service or by email before it takes effect, and continuing to use the Service after that means you accept the updated Terms.

10. Ending your use

You can stop using the Service at any time. Providers can delete their account in the app, which deletes their credentials, documents and connections. An agency can ask us to close its dashboard and delete its policies, protocols, codes and logs by emailing info@apexclinicalgroup.com; we may first provide an export if you ask for one. We may suspend or end access if you seriously or repeatedly break these Terms, if your subscription is unpaid, or if needed to protect the Service or other users.

11. Disclaimers

To the fullest extent the law allows, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

12. Limitation of liability

To the fullest extent the law allows, Apex will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service. Apex's total liability for any claim related to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim arose, or (b) $100.

13. Indemnity

If you use the Service for an agency, the agency will defend and indemnify Apex against third-party claims arising from Your Content, the agency's use of screening or credential information, or the agency's violation of these Terms or the law.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Brazos County, Texas, and you consent to their jurisdiction.
